SEVERANCE.
If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The headings contained in these Terms are provided solely for convenience and shall not affect the interpretation of any provision herein.
NO WAIVER OF TERMS.
Vereo Financial failure to enforce any provision of these Terms shall not be deemed a waiver of that provision or any other provision, nor shall it prevent VEREO FINANCIAL from enforcing any provision in the future.
CHOICE OF LAW.
These Terms, and any disputes arising from them, shall be governed by and construed in accordance with the laws of the State of Nevada, without regard to any conflict of law principles that might otherwise require the application of the laws of a different jurisdiction. You and VEREO FINANCIAL agree that any legal proceeding related to these Terms shall be governed exclusively by the laws of the State of Nevada, and any claim must be initiated within one (1) year from the date the cause of action arises, or such claim shall be deemed waived.
CLASS ACTION WAIVER.
TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND VEREO FINANCIAL (COLLECTIVELY, THE “PARTIES”) AGREE TO WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION OR CLASS-WIDE PROCEEDING. BY ACCEPTING THIS PROVISION, YOU ACKNOWLEDGE THAT YOU MAY ONLY BRING CLAIMS AGAINST VEREO FINANCIAL ON AN INDIVIDUAL BASIS, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS OR REPRESENTATIVE ACTION.
BINDING ARBITRATION.
YOU AND VEREO FINANCIAL (COLLECTIVELY, THE “PARTIES”) AGREE THAT ANY DISPUTE, CLAIM, OR LEGAL MATTER ARISING OUT OF OR IN CONNECTION WITH THIS SITE SHALL BE RESOLVED THROUGH BINDING ARBITRATION ADMINISTERED BY A SINGLE ARBITRATOR UNDER THE COMMERCIAL RULES OF THE AMERICAN ARBITRATION ASSOCIATION (“AAA”) IN LAS VEGAS, NEVADA, RATHER THAN THROUGH COURT LITIGATION. ALL DISCOVERY SHALL BE CONDUCTED WITHIN ONE HUNDRED AND TWENTY (120) CALENDAR DAYS OF THE ARBITRATOR’S APPOINTMENT. THE ARBITRATOR SHALL ALLOW COUNSEL REPRESENTATION, THE PRESENTATION OF WRITTEN AND ORAL EVIDENCE, AND THE CROSS-EXAMINATION OF WITNESSES, WHETHER IN PERSON OR VIA TELEPHONE, VIDEO, OR OTHER ELECTRONIC MEANS, AS APPROPRIATE. THE ARBITRATION AWARD SHALL BE FINAL, WRITTEN, AND BINDING ON THE PARTIES, AND MAY BE ENFORCED IN ANY COURT OF COMPETENT JURISDICTION. THE PARTY PREVAILING IN ANY ARBITRATION PROCEEDING SHALL BE ENTITLED TO RECOVER REASONABLE ATTORNEYS’ FEES AND OTHER ARBITRATION COSTS, NOT TO EXCEED TWENTY-FIVE THOUSAND DOLLARS ($25,000.00). UNDER NO CIRCUMSTANCES SHALL THE ARBITRATOR AWARD PUNITIVE OR EXEMPLARY DAMAGES. THE PARTIES HEREBY WAIVE ANY RIGHT TO APPEAL THE ARBITRATOR’S DECISION OR AWARD. NOTWITHSTANDING THE FOREGOING, EACH PARTY RESERVES THE RIGHT TO SEEK INJUNCTIVE OR EQUITABLE RELIEF FROM A COURT OF COMPETENT JURISDICTION TO COMPEL ARBITRATION OR PROTECT ITS CONFIDENTIAL OR PROPRIETARY INFORMATION.
MODIFICATION.
VEREO FINANCIAL reserves the right, in its sole discretion, to modify these Terms at any time. Changes will become effective immediately upon posting on the Site, and your continued use of the Site following such modifications constitutes your acceptance of the revised Terms.
USE OF THE SITE.
By accessing and using this Site, you represent and warrant that you are at least eighteen (18) years of age and have the legal capacity to enter into a binding agreement. You further warrant that all information provided by you is accurate and is your own. You agree to use the Site only for lawful purposes and in compliance with these Terms. VEREO FINANCIAL reserves the right, at its sole discretion, to restrict or terminate your access to the Site, in whole or in part, at any time, with or without notice, for any reason. We also reserve the right to report any suspected violations of law to the appropriate authorities.
